# Terms of service. Last updated 29 August 2026 Effective 29 August 2026 These are the rules for downloading, buying, and using Termy. They are binding once you install the app or pay for a license, so read them. We have tried to keep them short and plain. ## 01. Who you are agreeing with You are entering into an agreement with: Noisefloor Marcina Kasprzaka 29 01-234 Warszawa, Poland Contact: [support@termyapp.com](mailto:support@termyapp.com) Throughout this document, "we", "us", and "Noisefloor" mean the entity above. "You" means the person or organization installing or paying for Termy. If you are installing on behalf of an employer or client, you confirm you have the authority to bind them to these terms. ## 02. What Termy is Termy is a desktop application for macOS. It is a workbench for SSH, SFTP, S3, Docker, Kubernetes, port forwarding, and related tasks. It runs entirely on your Mac and connects directly to servers you configure. We do not host, operate, or proxy those servers; what Termy does there is between your Mac and them. The free tier of Termy allows up to five hosts and five keys, and includes every feature that does not require Pro. The Pro tier removes those caps and unlocks the features listed at [termyapp.com/#pricing](https://termyapp.com/#pricing) as of the date you purchase. We may add, change, remove, or rename features over time. The practical floor is this: a Pro license keeps unlocking the Pro features it unlocked on the day of purchase, for the duration of that license, on the supported macOS versions of that period. We will not silently remove a feature from your tier; if a feature becomes too costly to maintain we will announce it on [termyapp.com/releases](https://termyapp.com/releases) with at least 60 days' notice. ## 03. License grant Subject to your compliance with these terms, we grant you a non-exclusive, non-transferable, revocable license to install and use Termy. - **Free tier.** Perpetual, no payment required, limited to the feature surface described above. - **Pro tier.** For the duration of your subscription (monthly, yearly) or perpetually (lifetime), on up to three Macs you personally control. You manage which Macs are activated from Settings, Subscription, Connected devices. The license is granted to you as an individual. If a Mac is shared by multiple people in one household, that single Mac counts as one activation, not multiple. ## 04. What you may not do You may not: - Share, sell, sub-license, lend, or transfer your license key, your activation slot, or your Pro account credentials to anyone else. - Use Termy on more than three Macs concurrently under a single license. (Reasonable migration, old Mac to new Mac, is fine; revoke the old activation in Settings.) - Circumvent, disable, or otherwise interfere with the license-enforcement, signing, or update-verification mechanisms. - Reverse-engineer, decompile, or disassemble Termy beyond what Polish or EU law expressly permits. - Repackage, redistribute, or rebrand Termy as your own product. - Use Termy to access, attack, or interfere with computer systems you do not own or are not authorized to access. Termy is not an offensive-security tool; using it for unauthorized intrusion is a serious abuse of the product and, in most jurisdictions, a crime. - Use Termy in life-safety, life-support, nuclear, aviation, or other systems where a software fault could cause death, personal injury, or severe environmental damage. If you breach this section, we may revoke your license under Section 14 without refund. ## 05. Pro purchases, billing, and taxes Pro purchases are processed by Stripe Payments Europe Ltd. By purchasing Pro, you authorize Stripe to charge your payment method the displayed amount, plus any VAT or other taxes that apply where you reside. - **Monthly.** Billed once a month at the rate shown on [termyapp.com/#pricing](https://termyapp.com/#pricing) as of the day you subscribed. Automatically renews each month unless cancelled. - **Yearly.** Billed once a year, same logic. - **Lifetime.** A single charge. No subscription renewal. Own Termy Pro forever. All future updates are included. We may change Pro prices for new customers at any time. We will not raise the price of an existing monthly or yearly subscription mid-cycle; any price change applies on the next renewal, and we will email you at least 30 days before that renewal so you can cancel if the new price doesn't suit you. Lifetime purchases are not affected by future price changes. VAT is calculated by Stripe based on the country your card is issued in (or the country you provide for invoicing). Invoices are available from Stripe's customer portal and on request to [support@termyapp.com](mailto:support@termyapp.com). ## 06. Refunds We offer a 14-day refund window on every Pro purchase (monthly, yearly, or lifetime) for any reason. Full terms, including how this interacts with your statutory right of withdrawal under EU consumer law, are in the [Refund Policy](https://termyapp.com/refunds). ## 07. License keys and activation When you buy Pro, we email you a license key from our own mail server. To activate a Mac, paste the key into Termy, Settings, Subscription. The Mac contacts our license server, registers an opaque per-Mac identifier against your key, and from that point on operates offline; Termy revalidates once a day while online but does not require a network connection to keep working. A single license allows three concurrent Mac activations. You can revoke any activation from Settings, Subscription, Connected devices to free up a slot. We do not enforce hardware fingerprints. If you reinstall macOS, move to a new Mac, or restore from a backup, Termy may register the device as new. Simply revoke the stale activation. If you ever run into a legitimate situation where you need more than three activations (recurring hardware reshuffles, lab environments, shared Macs in a team), email [support@termyapp.com](mailto:support@termyapp.com) and we'll work it out. A lost license key can be re-sent to the email on file with Stripe. We cannot recover lost keys to a different email; that is for the obvious reason that anyone could otherwise claim your purchase. ## 08. Updates Termy includes Sparkle, the standard macOS auto-updater. While the app is running it checks `https://dl.termyapp.com/appcast.xml` roughly once a day. By default it asks before installing an update; you can change this in Settings, About, Updates. Monthly and yearly Pro plans include eligible updates while the subscription remains active. A Lifetime purchase includes all future Termy updates, including future major versions, with no separate update renewal or upgrade purchase required. You may disable updates entirely. We strongly recommend you don't; some updates fix security issues. We do not guarantee that older, unupdated versions will continue to work indefinitely against changing macOS APIs or remote-server behavior. ## 09. Your servers, your responsibility Termy is a client. It connects to whatever servers you tell it to. You are solely responsible for: - having the right to access those servers - the contents of files you upload, download, or modify - the commands you run and their consequences - complying with the acceptable-use policies of your hosting providers, employers, and any laws applicable to you - the security and integrity of your SSH keys, FIDO2 authenticators, and other credentials Termy will execute the commands you give it. Some of those commands can be destructive (`rm -rf`, `DROP TABLE`, `kubectl delete`). Termy's confirmation dialogs and reversible-ops features reduce this risk but do not eliminate it. Read what you type before you hit Enter. ## 10. Open-source components Termy is a commercial product, but it stands on a large amount of open-source software, including SwiftTerm, swift-nio, Citadel, Soto, libfido2, and Sparkle. License attributions are available in Termy, Settings, About, Acknowledgments. Those components are licensed to you under their own terms, which Termy bundles unmodified. ## 11. Privacy Our handling of personal data is described in the [Privacy Policy](https://termyapp.com/privacy). The Privacy Policy is part of these terms. If there is a conflict between the two on a privacy question, the Privacy Policy controls. ## 12. Disclaimer of warranties Termy is provided "as is" and "as available". To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. We do not warrant that: - Termy will be free of bugs, crashes, or data loss - Termy will be compatible with every macOS version, hardware configuration, or remote server software you might encounter - Apple's Foundation Models, Sparkle's update mechanism, Stripe's payment processing, or our license server will be continuously available - Any command Termy helps you compose, or any AI suggestion it generates, is correct This section does not exclude liabilities that cannot be excluded under Polish or EU consumer law. In particular, if you are a consumer in the EU/EEA, your statutory rights against us under Polish consumer protection law (including conformity warranties under the Implementation Act for Directive 2019/770) remain in force, and nothing in this document waives them. ## 13. Limitation of liability To the maximum extent permitted by applicable law, our total aggregate liability to you for any claim arising out of or relating to Termy or these terms is limited to the greater of: - the amount you have paid us for Termy in the 12 months preceding the event giving rise to the claim, or - €50. We are not liable for: - indirect, incidental, special, consequential, or punitive damages - loss of profits, revenue, goodwill, or anticipated savings - loss or corruption of data - interruption of business This section does not limit liability for: - death or personal injury caused by our negligence - intentional misconduct or gross negligence - any other liability that cannot be limited or excluded under Polish or EU law If you are a consumer in the EU/EEA, your statutory rights remain in force regardless of this section. ## 14. Termination Your license under these terms ends if: - You stop using Termy and uninstall it (free or Pro). - You cancel a subscription. Cancellation takes effect at the end of the current billing period; Pro features remain available until then. - You materially breach Section 4 (What you may not do). We may revoke your activations and end your license without refund. We will email the address on file to explain. - We discontinue Termy entirely. We will give at least 90 days' notice on [termyapp.com/releases](https://termyapp.com/releases) and email all paying customers. Refunds in that case are prorated for unused subscription time; lifetime customers receive a discretionary refund based on time elapsed since purchase. After termination, you must stop using Termy and remove it from your Macs. Provisions of these terms that by their nature should survive (Sections 4 restrictions, 9 your responsibility, 12–13 disclaimers and limitations, 19 governing law) survive termination. ## 15. Consumer rights If you are an individual buying Termy for personal use, and you reside in the EU/EEA or the UK, you are a consumer and protected by mandatory consumer-protection law. - You have a statutory 14-day right of withdrawal for digital content, with the consequence that this right is **lost** once delivery of the digital content has begun with your explicit consent and acknowledgment. By downloading Termy and entering your license key you give that consent and acknowledge that you lose the statutory withdrawal right at that moment. - Independently of that statutory right, we offer a 14-day refund window for any reason, as described in Section 6 and the Refund Policy. This is a goodwill commitment, not a waiver of any other right you have. - Polish consumer warranty (rękojmia) under the Civil Code applies to the conformity of Termy with the contract. Defect reports go to [support@termyapp.com](mailto:support@termyapp.com). If you are a business buying Termy as a B2B customer, none of the above applies; you contract with us as a commercial entity and Section 19 governs. ## 16. Changes to these terms We may update these terms from time to time. Material changes will be announced on [termyapp.com/releases](https://termyapp.com/releases) and emailed to the address Stripe has on file at least 30 days before they take effect. Non-material changes (typos, link updates, clarifications that don't change substance) may happen silently with the "Last updated" date at the top changing. If you do not agree with a material change, your remedy is to stop using Termy and, for paying customers, to request a prorated refund of any unused subscription time. Lifetime customers cannot demand a refund on the basis of a terms change, but the substantive rights granted to them in Section 3 cannot be reduced by such a change. ## 17. Governing law and disputes These terms are governed by the laws of the Republic of Poland, without regard to its conflict-of-laws principles. The CISG (UN Convention on Contracts for the International Sale of Goods) does not apply. For B2B customers, the exclusive forum for disputes is the courts competent for the seat of Noisefloor in Warsaw, Poland. For consumers in the EU/EEA, you may bring a claim either in the Polish courts or in the courts of your country of residence, as mandatory consumer-protection law allows. You may also contact a competent consumer alternative-dispute resolution body where applicable. We prefer to resolve disputes by email first. Write to [support@termyapp.com](mailto:support@termyapp.com) and we will work in good faith to find a fix before anything escalates. ## 18. Miscellaneous - **Entire agreement.** These terms, together with the Privacy Policy and the Refund Policy, are the complete agreement between you and us about Termy. They supersede any prior agreement, oral or written, on the same subject. - **Severability.** If any provision is found unenforceable, the rest remains in force. - **No waiver.** If we don't enforce a provision, that doesn't waive our right to enforce it later. - **Assignment.** You may not assign these terms or transfer your license to anyone else without our written consent. We may assign them to a successor entity (for example if Noisefloor incorporates into a Polish sp. z o.o. or similar) on notice to you. - **Force majeure.** Neither party is liable for delay or failure to perform caused by events beyond reasonable control (natural disasters, war, internet-backbone outages, government action, etc.). - **Language.** The authoritative version of these terms is English. Translations, if provided, are for convenience only. ## 19.
